Davis Polk is advising Comcast Corporation in connection with its agreement to merge with Time Warner Cable Inc. in a friendly, stock-for-stock transaction amounting to approximately USD45.2 billion in equity value. The transaction, which is expected to close by the end of 2014, is subject to shareholder approval at both companies, regulatory review and other customary conditions.
Comcast is a global media and technology company with two primary businesses, Comcast Cable and NBCUniversal. Time Warner Cable is among the largest providers of video, high-speed data and voice services in the United States, connecting 15 million customers to entertainment, information and each other.
